All sales made by Uniforce Technology Inc. ("Uniforce Technology") to its customer customers with Uniforce Technology U.S. resale accounts ("Purchaser") are subject to these terms and conditions. Purchaser's acceptance of these terms and conditions shall be made either (I) Purchaser providing a purchase order number to Uniforce Technology or (ii) Purchaser's acceptance of any Product from Uniforce Technology, whichever occurs first. These terms and conditions shall apply to sales of all products described in Uniforce Technology's current comprehensive product listing including special order product except as otherwise noted below ("Product"). The term "Special Order Product") as used herein shall mean products that are not listed in Uniforce Technology's current comprehensive product listing or have been configured to Purchaser's specifications.

TERM OF ORDERING
Prior to placing an order, Purchaser must have an active Uniforce Technology sales account number and Purchaser's account must be current and in good standing. Purchaser must provide Uniforce Technology with complete product order information as required by Uniforce Technology. The product order information will include without limitation the product description, unit quantity, Uniforce Technology SKU number and/or vendor part number, current unit price as provided by Uniforce Technology, and correct shipping address. For retailers, Purchaser will provide the above product order information as well as end user name and zip code and contact number. Purchaser personnel will identify, for each product order, the ship-to-destination as either purchaser, purchaser's customer, or to some other specified third party. Uniforce Technology reserves the right to require additional information based on the requirements of the manufacturer or publisher of the product. Purchaser shall not disclose any confidential information when ordering from Uniforce Technology may place orders over telephone, via facsimile, and via Uniforce Technology approved electronic ordering thru the Uniforce Technology website ordering methods only through parsons who identify themselves as Purchaser personnel and provide their Uniforce Technology customer number prior to placing the order. Uniforce Technology will have no obligation to confirm the validity of any order placed or the authority of the person placing an order in this matter.

TERM OF SALES
On-site service excludes external components such as monitors, external barcode scanner, external printer, keyboards, etc. (i.e., items which would not be repaired onsite), any software, and some special order internal components too complex to handle onsite.

Availability is typically 10 business days after receipt of order. Availability will vary with the component mix and may be impacted by spot shortages. "Availability" EXCLUDES delivery time, which may run from 1-10 days depending on selection of delivery method and "ship to" location. Please discuss delivery schedule with your sales representative.

Specifications, pricing, warranty, and terms and conditions are subject to change without notice. Because of the possibility of clerical errors, configuration and price changes that have not been posted to this website, and configurations which are not feasible, prices and configurations generated by any system configuration are "tentative." Once your order has been received, a sales representative will review it. If there are any problems, the representative will contact you.

Please note that Original Equipment Manufacturer (OEM) and "bulk" products used routinely in Uniforce systems may vary from the retail product described on the linked pages. Variations usually involve bundled software, cables, brackets, promotional materials, etc. Uniforce Technology provides at least the product listed in the description which is used on this website. Invoices are due and payable in accordance with that which is stated on the face of the invoice. A finance charge will be added to past due accounts at the rate of 2% per month. All legal, court costs, and service charges incurred in collecting payment will be an expense of and charged to the customer.

Unless otherwise noted on invoice, all shipments will be made F.O.B. Uniforce Technology and any prepaid shipping fees will be billed to and payable by purchaser. Risk of loss passes to purchaser upon delivery of merchandise to a common carrier.

Missing or incorrect items must be reported within 7 days of the receipt of the order. A $15.00 fee will be charged on returned checks.
